Our Commercial Transactions Group has extensive experience representing clients on all sides of lending and finance transactions.

We work with national, regional, local and community banks, lending institutions, investment funds and investors in all types of loan-related transactions, including real-estate secured, unsecured and asset-backed loans, syndicated credit facilities, tax-credit transactions and financing. Attorneys in this area of the Firm’s practice have structured a variety of loans and other financing transactions, including documenting and negotiating commercial real estate loans and major leases, conducting due diligence on the real estate and other collateral securing the loans, closing of the loan, selling distressed assets (both notes and OREO properties), facilitating acquisitions, dispositions, joint ventures, equity investments, forward developments, participations and portfolio transactions. Attorneys in the Commercial Transactions Group also have extensive experience in counseling clients with respect to various aspects of debtor-creditor relations and regulatory matters, such as interest and usury, loan charges and consumer credit protection, as well as the various theories of “lender liability.”

Government Insured Loans (including SBA, FHA and USDA):

The Firm’s Commercial Transactions Group has extensive experience with loans guaranteed or insured by the Federal government. Attorneys in this area are currently certified designated SBA 504 loan closing attorneys for the SBA’s 504 loan program, which provides long-term, fixed rate financing for expansion or modernization expenses.

The Firm’s Commercial Transactions attorneys represent leading multinational financial institutions, regional banks, community banks, real estate funds and other investors and lenders in their lending activities. Attorneys in the Firm’s Commercial Transactions Group are experts in a variety of transactions, including conventional commercial transactions, construction loans, real estate loans, revolving lines of credit, asset-based lines of credit and other secured loans.

 

OREO, Short Sales, and Commercial Closings:

The Commercial Transactions Group’s members leverage their varied transactional experiences and backgrounds to provide our clients with comprehensive representation when it comes to commercial real estate. The practice group has the ability to handle a distressed asset from start to finish by assessing the asset, presenting a variety of options and alternatives, and in some cases conducting loss mitigation efforts such as Deeds in Lieu of Foreclosure or short sales. Additionally, our attorneys regularly complete OREO transactions, which include: advising clients on contract terms, conducting due diligence review, identifying and resolving title issues, documenting the transaction and overseeing the closing.
